Our Commitment to Customer Satisfaction
At Opto Softechs, we strive to provide excellent software and services. This Refund Policy explains how refunds and billing questions are handled for our one-time purchase products and our services.
We do not sell subscriptions. All of our software licences are one-time purchases. There are no recurring charges, no automatic renewals and no cancellation is ever required to stop future payments.
Our software and services are sold exclusively to business customers. We do not sell to consumers (see Section 2).
1. What We Sell
1.1 Software Licences (One-Time Purchase, Business Customers Only)
- Standard Licence: A one-time payment for a perpetual licence to use the software in your business, including free updates for 12 months from the date of purchase
- Lifetime Licence: A one-time payment for a perpetual licence to use the software in your business, including free updates as described in Section 5 of this policy
1.2 Services
Services (for example setup, consulting, development, marketing or other project work) are provided on the basis of an individual quote or agreement and are charged as one-time fees for the agreed scope of work.
1.3 Payment and Authorised Resellers
Depending on the payment method you choose, your purchase is either made directly with Opto Softechs or processed by an authorised reseller or payment provider acting as the seller of record (Merchant of Record). The seller named on your receipt or invoice collects the payment, issues your receipt and processes any refund. Where a reseller is the seller of record, its terms and refund policy, which are shown or linked during checkout, apply in addition to this policy.
Nothing in this policy limits any mandatory statutory rights.
2. Business Customers Only – No Right of Withdrawal
2.1 Who May Buy From Us
Our software licences and services are sold exclusively to businesses: companies, sole traders, retailers, freelancers and self-employed persons who purchase for use in their trade, business or profession. When ordering, you confirm that you are purchasing for your business and provide your company or trading name.
2.2 No Statutory Right of Withdrawal
The statutory right of withdrawal for distance contracts applies only to consumers. As we sell exclusively to business customers, there is no statutory right of withdrawal for our software or services. Refunds are available in the cases described in Sections 2.3, 3 and 7 of this policy.
2.3 Purchases by Consumers
- If we become aware that a purchase was made by a consumer, we may decline the order or cancel the contract and refund the price paid; for software, the associated licence key is then deactivated (see Section 8)
- A buyer who confirmed a business purchase during ordering although this was not the case cannot rely on consumer rights on the basis of that incorrect statement, to the extent permitted by law
3. Defective Software or Services
If our software or service does not work as described, the following applies:
- Please contact us first with a description of the problem so we can fix it, for example through a bug fix, update or replacement
- If we are unable to remedy the defect within a reasonable time, you may reduce the price or terminate the contract for the defective licence or service and receive a refund of the price paid for it
- Statutory warranty rights remain unaffected, subject to the reporting duty in Section 9 and the limitation period in Section 10.6 of our Terms of Service
- Claims for damages and for reimbursement of expenses are governed by Section 10 (Liability) of our Terms of Service
4. Standard Licence After the Update Period
- After 12 months, the free update period of the Standard Licence ends
- Your licence remains valid and the software continues to work with the last version you were entitled to
- No renewal takes place and you will never be charged automatically
- The end of the update period is not a reason for a refund
5. Lifetime Licence – What ‘Lifetime’ Means
5.1 Scope of Lifetime Updates
‘Lifetime’ refers to the period during which Opto Softechs is actively operating its business. It does not refer to the lifetime of the purchaser or of a particular computer. For as long as Opto Softechs is actively operating, the Lifetime Licence includes all updates for the licensed software released during that time, without any further payment or renewal.
5.2 Closure of the Business or Insolvency
If Opto Softechs permanently ceases its business operations, or if insolvency proceedings are opened and the business is not continued, the provision of updates and support for the Lifetime Licence ends. In that case:
- We will inform licence holders by email as early as reasonably possible, where we are still able to do so
- Your licence remains valid, and installations that are already activated continue to work with the last version provided
- Your business data is stored on your own computer and remains under your control
- Activating the software on a new or additional computer requires our activation service, which may no longer be available after the closure; please keep regular backups
- In insolvency proceedings, the provisions of the applicable insolvency law apply
- Your mandatory statutory rights remain unaffected
5.3 Sale, Merger or Acquisition
- Change of ownership: If the shares or ownership of Opto Softechs are sold, your contract remains with the same company and the Lifetime Licence, including lifetime updates, continues unchanged
- Transfer of the business or software to another company: We will seek to have the acquiring company take over the Lifetime Licence obligations
- Your contract, including the lifetime update commitment, can only be transferred to another company with your consent; we will inform you in advance of any proposed transfer, including the name of the new provider
- If you do not consent, or if the acquiring company does not take over the obligations, our obligations towards you remain with Opto Softechs; if Opto Softechs subsequently ceases its business operations, Section 5.2 applies
6. Services
- Payment terms, milestones and cancellation terms for services are set out in the individual quote or agreement
- Where the individual agreement contains no provision, the statutory rules apply
7. Billing Errors and Duplicate Charges
- If you believe you were charged incorrectly or more than once, please contact us with your transaction details
- Confirmed billing errors and duplicate charges are refunded in full
- If you notice a charge you do not recognise, please contact us immediately so we can investigate
8. Effect of a Refund on Your Licence
- When a software purchase is refunded, the associated licence key is deactivated
- You must stop using the software and uninstall it
- Please export any business data you need before the refund is completed
9. Chargebacks and Payment Disputes
- Please contact us before filing a chargeback with your bank or card provider – most issues can be resolved quickly
- If a chargeback is filed, the licence key associated with the transaction may be suspended until the dispute is resolved
- If a chargeback is decided in your favour, the licence is treated as refunded (see Section 8)
10. Cases Without a Refund
Subject always to mandatory statutory rights and to Section 3, refunds are generally not provided for:
- Software purchases where the software works as described (there is no right of withdrawal for business purchases)
- A change of mind after purchase
- The end of the 12-month update period of a Standard Licence
- Services that have already been fully performed
- Problems caused by hardware, operating systems or third-party software that do not meet the published system requirements
11. How to Request a Refund
Email: contact@optosoftechs.com
Subject: ‘Refund Request’
Please include:
- The email address used for the purchase
- Your order, transaction or invoice number (shown on your receipt or invoice)
- Your licence key (for software)
- The reason for your request
We will respond within 3 business days. Approved refunds are issued by the seller named on your receipt or invoice, using the original payment method where possible; depending on your bank or payment provider, it may take a few additional business days until the amount appears on your statement.
12. Changes to This Refund Policy
We may update this policy, for example to comply with new legal requirements or to reflect new products or services. Changes apply only to purchases made after the change. Purchases already made are governed by the version of this policy in force at the time of purchase; a later change will not reduce the updates included in a licence you have already bought. Previous versions of this policy remain available on this page.
